Senior Legal Counsel - Brokerage, Product & Commercial Legal (Cyprus)

About the role

Freedom Finance Europe Ltd, a regulated European online broker based in Cyprus, is strengthening its Legal Unit and is looking for a Senior Legal Counsel to lead its Brokerage, Product & Commercial Legal department. This is a senior individual-contributor role for an experienced in-house lawyer who combines strong legal judgement with hands-on drafting, negotiation and cross-functional collaboration, reporting to the Head of Brokerage, Product & Commercial Legal.

Key responsibilities

• Provide legal support for the regulated brokerage model, investment services and product-led initiatives, assessing new products, initiatives, client journeys and distribution scenarios.
• Analyse and apply CySEC, MiFID II/MiFIR, EU financial services, conduct of business, disclosure, prospectus, data protection and sanctions requirements.
• Draft, review and negotiate brokerage, product and commercial agreements with clients, partners, banks, payment institutions, introducing brokers and vendors.
• Own, draft and update Terms of Business, disclosures, product terms, client forms, prospectus materials, website wording and disclaimers.
• Review marketing materials, campaigns, website content, platform flows and client journeys for legal and compliance risks.
• Prepare legal positions and response strategies for complex client complaints and pre-dispute matters, and support sanctions, restrictions and asset-unblocking matters.
• Develop templates, standard clauses, negotiation playbooks and checklists, and mentor junior or mid-level team members.

Required profile

• 7-9+ years of in-house legal experience in a Cyprus investment firm, regulated financial institution, broker, fintech or a law firm supporting such clients.
• Law degree; common-law qualification or JD or civil-law equivalent with strong exposure to common-law drafting and international transactions is preferred.
• Strong knowledge of CySEC/CIF regulation, MiFID II/MiFIR, GDPR, commercial contracts and client-facing documentation.
• Strong drafting and negotiation skills in English and Russian, and ability to write concise legal memos and contract-ready wording.

Required skills

• Advanced use of Microsoft Office.
• Ability to work with legal tech, document management, task management and knowledge management tools.
